Terms of Use

These Terms of Use (“Terms”) are an agreement between you and HallaHelps (“HallaHelps,” “we,” “us”) covering your use of the HallaHelps website at hallahelps.com and the HallaHelps help desk service at app.hallahelps.com (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you’re accepting them for a business, you confirm you’re authorized to bind that business, and “you” means the business.

1. The Service

HallaHelps is a shared support inbox and help desk. It connects to a mailbox your business controls, turns incoming email into tickets, and lets your team assign, reply to, tag, and report on them. Features may change over time as we improve the Service. If we remove a feature that’s a core part of what you’re paying for, we’ll give you reasonable notice.

2. Accounts and seats

One seat per person. No shared accounts. Each HallaHelps seat is for one named individual. Every person who uses the Service needs their own account, signed in with their own credentials.

You may not:

  • share a login between two or more people,
  • set up a generic or role-based account (for example “support@” or “frontdesk”) for several people to use,
  • pass one seat around between different people over time to avoid paying for more seats.

You may move a seat from someone who has left your team to their replacement.

Separate accounts are how HallaHelps shows who replied, who is viewing a ticket, and who changed what, and that history only means something if each account belongs to one person. If we find that an account is being shared, we may require you to add the seats you need, or suspend the shared account until you do.

Owners and admins on your account decide who gets a seat and what role they have. You’re responsible for everything done under your account, for keeping passwords and sign-in methods secure, and for telling us right away at support@hallahelps.com if you think an account has been compromised. You must be at least 16 years old to use the Service, and you must give accurate information when you sign up.

3. Your data

You own your data. “Customer Data” means the email, replies, notes, attachments, contacts, tags, saved replies, knowledge base articles, and other content you or your end customers put into the Service. You give us permission to host, process, and display Customer Data only as needed to run, secure, and support the Service for you. Our Privacy Policy explains how we handle personal information.

Your end customers. When you connect a mailbox, HallaHelps processes messages from the people who email your business. You’re responsible for having the right to do that, and for giving any notices or getting any consents the law requires for your end customers.

Mailbox credentials. You give us your mailbox settings so we can receive and send email for you. We encrypt stored mailbox passwords. You’re responsible for making sure you’re allowed to connect that mailbox, and for the email sent from it through the Service.

Support access. To help you set up or fix something, HallaHelps support staff may open your account. They do this as themselves, never by signing in as one of your people, with the same access as one of your admins and only for a limited time. They can’t see your mailbox passwords or change your billing. Every visit is logged, and your owners and admins can see when and why we visited under Account, Global, HallaHelps support visits.

Export and deletion. You can delete tickets at any time. After your account ends, we’ll keep your Customer Data for 30 days so you can ask us for an export. After that, we’ll delete it within a reasonable period, except where the law requires us to keep it.

4. Acceptable use

You agree not to use the Service to:

  • send spam, bulk unsolicited email, or messages that break anti-spam laws (such as CAN-SPAM or GDPR),
  • send or store anything illegal, infringing, harassing, defamatory, or harmful, including malware,
  • get into, or try to get into, another customer’s data or account,
  • probe, scan, or test how vulnerable the Service is, or load-test it, without our written permission,
  • reverse engineer, copy, or resell the Service, or use it to build a competing product,
  • get around seat limits, plan limits, or the one-person-per-seat rule.

We may suspend access that we reasonably believe breaks these rules or puts the Service or other customers at risk. When we can, we’ll tell you first and give you a chance to fix the problem.

5. AI features

HallaHelps offers optional AI tools, such as “Rewrite with AI” for reply drafts. AI output can be wrong or incomplete. Review it before you send it, because you’re responsible for what your team sends. When someone uses an AI feature, we send only the text needed for that request to our AI provider. That provider doesn’t use it to train its models by default.

6. Integrations

If you connect a third-party service (for example Slack, Microsoft Teams, Zapier, a webhook, or Google or Microsoft sign-in), we send that service the data needed for the connection you set up. That service’s own terms govern how it uses the data. We aren’t responsible for third-party services.

7. Plans, billing, and trials

Fees. Paid plans are billed in advance, monthly or yearly, based on your plan and number of seats. Prices are listed at hallahelps.com or shown in the app when you sign up. Fees don’t include taxes, which are your responsibility.

Renewals. Plans renew automatically until you cancel. You can cancel at any time, and the cancellation takes effect at the end of your current billing period. We don’t give refunds or credits for partial periods, except where the law requires them.

Seat changes. Seats you add are charged from the date you add them.

Price changes. We’ll give you at least 30 days’ notice before a price change, and the new price takes effect at your next renewal.

Trials. If we offer a free trial, it ends at the time shown when you start it. We may limit trials to one per business.

Unpaid fees. If a payment fails and isn’t fixed after we notify you, we may suspend the account until the balance is paid.

8. Our intellectual property

The Service, including its software, design, logos, and documentation, belongs to HallaHelps. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you send us feedback or suggestions, we may use them without owing you anything.

9. Availability and support

We work to keep the Service available and secure, but it may sometimes be unavailable because of maintenance, updates, or events outside our control. When we can, we’ll schedule maintenance for off-peak times. You can reach support at support@hallahelps.com.

10. Ending your account

You can close your account at any time. We may suspend or end your access if you seriously break these Terms, don’t pay, or if we have to by law. If we stop offering the Service entirely, we’ll give you at least 30 days’ notice and a chance to export your data. Sections 3 (export and deletion), 8, 11, 12, 13, and 15 continue to apply after your account ends.

11. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t promise that the Service will be uninterrupted or error-free, or that every email will be delivered. Email delivery also depends on your mailbox provider and the recipient’s systems.

12. Limitation of liability

To the fullest extent the law allows:

  • Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if it was told those damages were possible.
  • Each party’s total liability under these Terms is limited to the amount you paid HallaHelps in the 12 months before the event that caused the claim.

These limits don’t apply to your payment obligations, or to either party’s liability for fraud or willful misconduct.

13. Indemnity

You’ll defend and indemnify HallaHelps against third-party claims that come from your Customer Data, your use of the Service in breach of these Terms, or email sent from your connected mailbox. This includes reasonable legal fees.

14. Changes to these Terms

We may update these Terms. For significant changes, we’ll notify account owners by email or in the app at least 15 days before they take effect. If you keep using the Service after that date, you accept the updated Terms. If you don’t agree, you can cancel before they take effect.

15. General

  • Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Escambia County, Florida, and both parties consent to those courts.
  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service.
  • Severability. If any part of these Terms is found unenforceable, the rest still applies.
  • No waiver. If we don’t enforce a term, that doesn’t mean we’ve given up the right to enforce it later.
  • Assignment. You may not transfer these Terms without our written consent, except as part of a merger or sale of your business. We may transfer them as part of a merger or sale of ours.
  • Notices. We’ll send notices to the account owner’s email address. You can send notices to support@hallahelps.com.
  • Events outside our control. Neither party is responsible for delays caused by events it can’t reasonably control.
